Is she ignoring that she just got a direct, almost explicit threat?

If this happens to a real countess then it should be ground for punishment already.
 
The threat is a VERY important part of that "talk". Not only should MC mention it, because of her own safety, but to give the prince more fodder to turn that bitch down. If she resorts to threatening, she isn't fit to become the next duchess. (Well, in low-fantasy medieval-settings she would. It would be a quality and not a flaw, but that's beside the point.)
